Associate General Counsel

About the Role

TheAssociate General Counsel (AGC)at this mission-driven bank will play a critical role in advancing the Bank’s legal and business objectives, providing strategic and practical legal advice across all areas of the organization. Reporting to and working with the General Counsel, the AGC will provide guidance on contract negotiation, regulatory compliance, corporate governance, and product and program documentation. As the second attorney to join the department, you’ll partner directly with senior leaders and the General Counsel to help shape the legal function, influence strategic decisions, and contribute directly to the Bank’s long-term success. Key Responsibilities: Review, draft, and negotiate a wide range of contracts, including vendor, technology, and service agreements. Advise business leaders on product initiatives and operational matters, translating legal concepts into practical legal guidance. Partner on corporate governance activities, including preparation of board and committee materials, policy reviews, and governance best practices. Collaborate with risk teams (i.e. information security, vendor management, finance, product innovation, etc.) to identify, mitigate, and manage potential legal risks. Provide legal support to the compliance team, especially with respect to complex banking and regulatory issues. Stay ahead of emerging regulatory trends and developments, providing proactive insights to leadership. Stand in for the General Counsel as needed. Minimum Qualifications: Minimum of eight (8) years of relevant legal experience, preferably in financial services and as in-house counsel. Demonstrated experience drafting, reviewing, and negotiating commercial contracts. Excellent written and verbal communication skills, with the ability to convey complex legal concepts clearly to diverse stakeholders. Proven ability to manage multiple priorities and deliver high-quality work in a fast‑paced, collaborative environment. Strong legal judgment and ability to navigate ambiguous or evolving areas of law. Skilled at balancing risk management with business enablement. Experience providing practical advice in low-information or rapidly changing situations. Demonstrated commitment to integrity and collaboration. Cooperative experience a plus but not required. Education: Juris Doctor (JD) degree from an accredited law school Licenses/Certifications: Active license to practice law in at least one U.S. jurisdiction with ability to waive into Virginia as in-house attorney. Hybrid – Employees will work from both remote and onsite locations. Employees are currently required to be onsite at least two (2) days per week, specifically on Tuesdays and Wednesdays. Certain positions or business needs may require additional in-office days.
